TRANSACTION CONSULTING

01.

Organizing and conducting the company and project acquisition process (for both parties to the transaction: sell & buy) for the purpose of sale or recapitalization by owner:

  • Project analysis, Transaction structuring, preparation of Transaction summary and Company teaser as well as a longer presentation – the Investment Memorandum;
  • Drafting the Company’s financial model complete with financial projections;
  • Preparing the long list of potential Investors to be approached with the teaser (upon approval by the Company / Client);
  • Distributing the teaser to potential Investors, preliminary negotiations;
  • Assisting the Client in compiling the document package / memorandum required by potential Investors for their investment decisions; coordinating the information flow process; supervising the indicative offering by the Investor(s); and shortlisting of Investors;
  • Support in selecting the final offer / Investor;
  • Supervision of the due diligence process;
  • Supporting the Client in negotiating the terms of investment agreement / SPA and closing.

02.

Consulting in acquisitions and transformations of business entities (mergers, amalgamations, demergers) in cooperation with experienced tax advisors and legal counsels

DEBT FINANCING
ARRANGEMENTS

01.

The debt financing arrangement process (corporate bonds, private loans, bank facilities):

  • Project analysis, Transaction structuring, preparation of Transaction summary and Company teaser;
  • Drafting the Company’s financial model complete with financial projections;
  • Drafting a long list of providers of debt financing and mezzanine to be approached with the teaser;
  • Distributing the teaser to Investors, preliminary negotiations;
  • Assisting the Company in compiling the document package required by potential Investors for their investment decisions; coordinating the information flow process; supervising the indicative offering by the Investor(s); and shortlisting of Investors;
  • Support in selecting the final offer / Investor;
  • Supervision of the due diligence process;
  • Supporting the Company in negotiating the terms of investment agreement / SPA and closing.

Improvement of company operations leading to better performance, profitability or cost reduction

Development and implementation of methods and tools to improve company performance and functioning (e.g. MbO, ABC, Balance Scorecard, controlling solutions and conceptions as well as BI)
